Welcome to MedSpire Health LLC (“MedSpire Health,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of our website, digital platforms, and marketing services (collectively, the “Services”). By using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.
1. Scope of Services
MedSpire Health provides marketing and compliance support services to healthcare providers, including but not limited to website development, search engine optimization (SEO), paid advertising, social media management, and LegitScript application support.
Our Services are intended for business and professional use. We do not provide medical, legal, or financial advice.
2. Eligibility
To use our Services, you must:
- Be at least 18 years old.
- Be authorized to act on behalf of a business or healthcare practice.
- Agree to comply with all applicable laws, regulations, and industry compliance requirements.
3. Client Responsibilities
When using our Services, you agree to:
- Provide accurate and complete information necessary for us to deliver Services.
- Retain responsibility for your own business compliance, including HIPAA obligations where applicable.
- Refrain from transmitting or storing Protected Health Information (“PHI”) through MedSpire Health systems unless a Business Associate Agreement (BAA) has been executed.
- Ensure that ad budgets, platform access, and third-party accounts remain under your ownership and control.
4. Intellectual Property
- All content, materials, and tools provided by MedSpire Health are protected by copyright, trademark, and intellectual property laws.
- You may not copy, reproduce, or distribute our materials without prior written consent.
- You retain ownership of your business content, branding, and domain names.
- MedSpire Health retains ownership of its pre-existing tools, processes, and methodologies.
5. Payment & Fees
- Fees are governed by the Marketing Agreement executed between MedSpire Health and each client.
- Invoices are due according to the agreed terms. Late payments may result in suspension of Services.
- Prepaid fees are non-refundable unless otherwise stated in writing.
6. Compliance & Prohibited Uses
You agree not to use our Services for:
- Any unlawful, fraudulent, or misleading activities.
- Marketing practices that violate healthcare advertising regulations (e.g., HIPAA, FTC, LegitScript policies).
- Transmission of malware, spam, or unauthorized solicitation.
MedSpire Health reserves the right to suspend or terminate Services if prohibited activities are detected.
7. Disclaimers
- MedSpire Health makes no guarantees of specific patient acquisition, revenue growth, or ROI. Results may vary by market conditions, competition, and client budget.
- While we provide compliance support, ultimate responsibility for regulatory compliance rests with the client.
- Services are provided “as is” without warranties of any kind, express or implied.
8. Limitation of Liability
To the maximum extent permitted by law:
- MedSpire Health’s liability under these Terms shall not exceed the total service fees paid by the client in the preceding 12 months.
- MedSpire Health shall not be liable for indirect, incidental, or consequential damages, including lost profits, reputational harm, or regulatory penalties.
9. Indemnification
You agree to indemnify and hold MedSpire Health harmless against claims, damages, liabilities, or expenses arising out of:
- Your misuse of the Services.
- Your failure to comply with applicable laws and regulations.
- Any inaccurate or incomplete information you provide.
10. Termination
- Either party may terminate Services in accordance with the Marketing Agreement.
- Upon termination, your right to access MedSpire Health platforms or materials will cease immediately.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Washington. Any disputes shall be resolved exclusively in the state and federal courts located in King County, Washington.
12. Changes to These Terms
We may update these Terms from time to time. Updated versions will be posted with a revised “Last Updated” date. Material changes will be communicated directly to clients.
